These Terms of Service (“Terms”) govern your access to and use of the Adspur platform and website at www.adspur.com (the “Service”), operated by Adspur Ltd (“Adspur”, “we”, “us”, “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use the Service.
Adspur Ltd is a company registered in England and Wales. Our registered office is at 80 Cheapside, London, EC2V 6EE, United Kingdom.
The Service provides tools for tracking advertising and creative industry award shows, including calendar management, deadline tracking, award submission management, and agency collaboration features.
To access certain features of the Service, you must create an account. When registering, you agree to:

We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate information or are being used in breach of these Terms.
Adspur offers both free and paid subscription plans. Details of current plans and pricing are available on the Adspur website.
For paid subscriptions:
Refunds are not routinely provided for partial billing periods. If you believe you are entitled to a refund due to exceptional circumstances, please contact us at support@adspur.com.
Adspur offers a free tier with limited features. The free tier is provided on an “as is” basis and we reserve the right to modify, limit or discontinue the free tier at any time without notice.
Where a free trial period is offered for paid features, you will be notified before any charges are applied and will have the opportunity to cancel before the trial ends.
“Your Content” means any data, text, images, videos, PDF documents, case studies, creative work, credits, and other materials that you upload, submit or store on the Service, including award submission content.
Backup: While we take reasonable measures to protect Your Content, you are responsible for maintaining your own backup copies. We are not liable for any loss or corruption of Your Content.
You agree not to use the Service to:

To the maximum extent permitted by law:
For consumers in the UK and EU: Nothing in these Terms affects your statutory consumer rights under applicable consumer protection laws.
For users in the United States: Some states do not allow the exclusion of implied warranties or limitation of incidental or consequential damages. In such states, the above limitations may not apply to you to the extent prohibited by applicable law.
You agree to indemnify, defend and hold harmless Adspur, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with:
We process personal data in accordance with our Privacy Notice, which forms part of these Terms.
By using the Service, you acknowledge that you have read and understood our Privacy Notice and consent to the processing described therein.
If you upload personal data relating to other individuals (for example, creator credits in award submissions), you are responsible for ensuring that you have a lawful basis for doing so and that those individuals are aware of how their data will be processed.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
The date of the most recent update is shown at the top of this document.
Entire agreement: These Terms, together with our Privacy Notice, constitute the entire agreement between you and Adspur regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
No third-party rights: These Terms do not confer any rights on any third party. Nothing in these Terms is intended to create a partnership, joint venture, or agency relationship between you and Adspur.
Notices: Notices to you will be sent to the email address associated with your account. Notices to Adspur should be sent to the contact details in Section 17.
These Terms are governed by and construed in accordance with the laws of England and Wales.
For UK and EU users: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also have the right to bring proceedings in the courts of the country in which you reside, and nothing in these Terms affects your statutory consumer rights.
For US users: Any disputes arising out of or in connection with these Terms shall be resolved in accordance with the laws of England and Wales. You agree to submit to the jurisdiction of the courts of England and Wales, provided that nothing in this section limits your rights under applicable US consumer protection laws or prevents you from bringing claims in a court of competent jurisdiction in the United States if required by applicable law.
For all other jurisdictions: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where local law requires otherwise.
